Clessidra Private Equity has developed a solid and structured responsible investment system to ensure that ESG principles are integrated into the company’s operations and investment strategy, representing a fundamental part of the governance of portfolio companies.

In the assessment of acquisitions and divestments and in the management of portfolio companies, in the constant effort to minimize risk and generate sustainable long-term returns, Clessidra Private Equity is deeply committed to implementing ESG principles and initiatives, following a highly disciplined and structured approach in all investment phases, as summarized below:

Pre-investment

Screening

The investment team ensures that the target company meets the terms set out in the fund’s regulations and aligns with the ethical principles and standards included in Clessidra Private Equity’s ESG policy.

Due diligence

The investment team uses a proprietary ESG checklist aligned with major international reference guidelines to screen high-level ESG risks and opportunities to be evaluated in due diligence. Based on the results of the ESG checklist, the investment team works closely with its consultants to investigate the company’s ESG profile and identify value creation opportunities that can be unlocked during the holding period.

Closing

The results of the ESG due diligence process are included in the final investment recommendation document (FIR) and reviewed by the Investment Committee and the Board of Directors. ESG requirement clauses are included in the investment contract.

Active management

Business integrity

The investment team promotes the adoption of an Organizational Model for the prevention of crimes related to the environment, health and safety, and business practices (e.g., corruption, extortion, etc.), collaborating with portfolio companies for its definition.

ESG action plan

Clessidra Private Equity’s investment team engages with portfolio companies to develop an ESG action plan and a set of performance indicators (KPIs) and monitors progress, collecting portfolio companies’ ESG KPIs annually.

Management responsibility

During the management phase, Clessidra Private Equity consistently engages with portfolio company top management to promote their commitment to sustainability and oversees ongoing processes to manage risks and opportunities and prevent incidents. This oversight allows Clessidra Private Equity to ensure that ESG incidents are reported to investors promptly.

Investor relations

Clessidra Private Equity’s investor relations function annually communicates portfolio companies’ ESG performance to investors, providing clear and detailed information.

Divestment
